Present were Council President Jimmy Conyers, Councilmembers: Joshua Gammon, Jay Robinson, and Andrea Booth, Mayor Sherry Sullivan, City Attorney Marcus E. McDowell, and City Clerk Lisa A. Hanks. Councilmember Jack Burrell was absent. There being a quorum present, Council President Conyers called the meeting to order. The invocation was given by Reverend Dr. Gary Cox of Eastern Shore Presbyterian Church, and the Pledge of Allegiance was recited. Councilmember moved to approve minutes of the Gammon, regular meeting; and minutes of the , work session. Seconded by Councilmember Robinson, motion passed unanimously by voice vote. Mayor Sullivan addressed the City Council and introduced Skip Jones who is the President of the Fairhope Center of the Writing Arts and gave an update of the program. He said there have been 101 writers since 2004. Since Mayor Sullivan took office, maintenance for the Cottage has been budgeted; i.e., roof and floor. He thanked everyone for what we have done. Councilmember Booth mentioned that she, Mayor Sullivan, and Councilmember Gammons went to the Alabama League of Municipalities Advocacy Day. She said that everyone that was there loves Mayor Sullivan. Council President Conyers announced the retirement of Coach Carter; and thanked Gary Gover for his service on the Fairhope Environmental Advisory Board. Councilmember Robinson moved for final adoption of Ordinance No. 1852, an ordinance to amend Ordinance No. 1233 known as the City of Fairhope Business License Code, Chapter 8, Section 22. License Classifications: additional NAICS Codes with Fee Schedule. (Introduced at the at the January 12, 2026 City Council Meeting) Seconded by Councilmember Booth, motion for final adoption passed by the following voice votes: AYE – Gammon, Conyers, Robinson, and Booth. NAY - None. Councilmember Robinson moved for final adoption of Ordinance No. 1853, an ordinance to annex the property of ALDI, Inc., FAV181, LLC, and Fairhope Single Tax Corporation located at 10101 County Road 48, Fairhope, Alabama and to zone B-2 General Business District. Tax Parcels 46-06-14-0-000-001.792 and 46-06-14-0-000- 001.642. (Introduced at the January 12, 2026 City Council Meeting) Seconded by Councilmember Booth, motion for final adoption passed by the following voice votes: AYE – Gammon, Conyers, Robinson, and Booth. NAY - None. Page 6 of 170 26 January 2026 Planning Director Hunter Simmons addressed the City Council to explain the Site Plan Review of property owned by FST SILDI, LLC. Located at 301 Fairhope Avenue, Fairhope, Alabama for Fairhope Boarding House. The property is approximately 0.20 acres and is zoned B-2 – General Business District. PPIN #14359. (Planning Commission voted 8 to 1 to recommend approval of SR 25.08). Councilmember Robinson moved to approve the Site Plan property owned by listed above subject to Staff’ recommendation with one condition; and Planning Commission’s recommendation. The motion was seconded by Councilmember Booth. Councilmember Robinson said he was concerned with 300 people at Roof Top Bar. He said we need to make sure it is compliant, regulated, and monitored. Attorney Chris Williams asked what the maximum could be from Building Official. Councilmember Gammon questioned square footage of accessory, room sizes, and number of rooms. Ryan Baker, Principal Architect with Walcott Adams Verneuille said it is 8,000 square footage less mechanical equipment. The Roof Top Bar is for the boarding house residents and guests. Councilmember Booth mentioned concerns from the Community with parking. Council President Conyers said parking was a prior concern but not now. He said there will be one full-time resident, so one parking space is required. Councilmember Robinson explained that this building has been discussed for over two years. After further discussion, motion passed unanimously by voice vote. Councilmember Robinson introduced in writing, and moved for the adoption of the following resolution, a resolution that the City of Fairhope adopts a resolution in support for all efforts to protect the health of Mobile Bay, preserve the quality of life of our residents, and safeguard the natural resources that draw so many people to live in and visit Coastal Alabama. The motions was seconded by Councilmember Gammon. After Council President Conyers read the entire resolution, motion passed unanimously by voice vote. * * * * Page 7 of 170 26 January 2026 RESOLUTION NO. 5702-26 RESOLUTION IN SUPPORT FOR ALL EFFORTS TO PROTECT THE HEALTH OF MOBILE BAY WHEREAS, The City of Fairhope supports all efforts to protect the health of Mobile Bay. We know the bay is the greatest natural resource on the Eastern Shore, directly impacting our economy, tourism, and quality of life. It is one of the primary reasons Fairhope and the Eastern Shore have become such desirable places to live; and WHEREAS, We also recognize that regulations and best practices change over time and have heard from citizens about concerns related to thin layer placement (mud- dumping) and coal ash. It is essential that the data and science is followed, and that Alabama’s leaders have the opportunity to periodically re-evaluate these standards to ensure we remain responsible stewards of Mobile Bay; and WHEREAS, We are committed to working with our state and federal partners, industry leaders, and environmental organizations to protect Mobile Bay, preserve the quality of life for our residents, and safeguard the natural resources that draw so many people to live in and visit Coastal Alabama. NOW THEREFORE BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF FAIRHOPE, ALABAMA, That the City of Fairhope adopts a resolution in support for all efforts to protect the health of Mobile Bay, preserve the quality of life of our residents, and safeguard the natural resources that draw so many people to live in and visit Coastal Alabama. State Public Road and Bridge Funds shall be limited to $250,000.00 for this project. Seconded by Councilmember Robinson, motion passed unanimously by voice vote. RESOLUTION NO. 5703-26 BE IT RESOLVED, BY THE GOVERNING BODY OF THE CITY OF FAIRHOPE, ALABAMA, as follows: That the City of Fairhope, Alabama enter into an agreement with the State of Alabama, acting by and through the Alabama Department of Transportation relating to a project for: Intersection improvements to include installation of traffic signals and equipment on SR-181 and Threshing Boulevard; Project# ST-002-999-015; CPMS Ref# 100081388. Which agreement is before this Council; and that the agreement be executed in the name of the City of Fairhope, by its Mayor Sherry Sullivan for an on its behalf; and that it be attested by the City Clerk, Lisa A. Seconded by Councilmember Booth, motion passed unanimously by voice vote. RESOLUTION NO. 5712-26 WHEREAS, the City of Fairhope, Alabama, has certain items of personal property which are no longer needed for public or municipal purposes; and WHEREAS, Section 11-43-56 of the Code of Alabama of 1975 authorizes the municipal governing body to dispose of unneeded personal property; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF FAIRHOPE, ALABAMA, AS FOLLOWS: Page 17 of 170 26 January 2026 SECTION 1. Hanks, MMC City Clerk Councilmember Robinson introduced in writing, and moved for the adoption of the following resolution, a resolution - that Mayor Sherry Sullivan is hereby authorized to execute the Development Agreement between the City of Fairhope and BCP Acquisitions, LLC, (“the Company”) regarding utility service to a single family residential development on County Road 34 conditioned on annexation as set forth in the Agreement. The motion was seconded by Councilmember Booth. Attorney Chris Williams explained that the Development Agreement will get signed first; and then BCP Acquisitions, LLC would annex into the City zoned R-1b to get water and sewer service. Mayor Sullivan stated we made sure we could serve this development. After further discussion, motion passed unanimously by voice vote. Page 18 of 170 26 January 2026 RESOLUTION NO. 5713-26 BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF FAIRHOPE, ALABAMA, That Mayor Sherry Sullivan is hereby authorized to execute the Development Agreement between the City of Fairhope and BCP Acquisitions, LLC, (“the Company”) regarding utility service to a single family residential development on County Road 34 conditioned on annexation as set forth in the Agreement. RESOLUTION NO. 5714-26 BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF FAIRHOPE, ALABAMA, That the City of Fairhope approves to amend Resolution No. 5608-25 for the Annual Subscription for KorTerra Services from KorTerra, Inc. for the Gas Department to increase the Annual Service Fee of $7,350.00 to $7,500.00. RESOLUTION NO. 5715-26 BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF FAIRHOPE, ALABAMA, for the Subrecipient of FTA Fund, as follows: 1. That the City of Fairhope enter into an agreement with the State of Alabama: acting by and through the Alabama Department of Transportation relating to public transportation with partial funding by the Federal Transit Administration, which agreement is before this City Council of the City of Fairhope. 2. That the agreement to be executed in the name of the City of Fairhope, by the Mayor of the City of Fairhope for and on its behalf; and that the Council authorize Mayor Sherry Sullivan to sign any and all necessary documentation related to the funding agreement: 3. That such execution be attested by the City Clerk and the seal of the City of Fairhope affixed thereto: BE IT FURTHER RESOLVED, that upon completion of the execution of the agreement by all parties, a copy of such agreement be kept by the City Clerk in the minute book of the City of Fairhope. Present were Council President Jimmy Conyers, Councilmembers: Joshua Gammon, Jay Robinson, and Andrea Booth, Mayor Sherry Sullivan, City Attorney Marcus E. McDowell, and City Clerk Lisa A. Hanks. Councilmember Jack Burrell was absent. Council President Conyers called the meeting to order at 4:30 p.m. The following topics were discussed: • The first item on the Agenda was the Introduction of Energy Southeast by President and CEO Fred D. Clark, Jr. He addressed the City Council and introduced himself and the company which has been in wholesale power for 45 years. Mr. Clark announced that rates have been stable for years and mentioned the levelization rider. He told the City Council that we have a great staff and leadership. Mr. Clark said Energy Southeast does the following: AMI Project, Safety and Training, Economic Development Projects and Grants, Veterans Recognized with Dedicated Parks, and Scholarship Program (four students from Fairhope). Mayor Sullivan mentioned funds were used for the 46kV Loop Project, Arts Alley, and others. • The next item on the Agenda was the Presentation: “Fly Creek Canine Water Quality Study” by Grants Coordinator Nicole Love and Mobile Bay National Estuary Program. She gave an overview why we need this study. Cody Aloi addressed the City Council and presented an innovative way to study and identify sources of sewage in our waterways. Mr. Aloi said he and his partner Paul Orcutt trained a canine to find pathogens and can use the canine as a screening tool to detect regulatory levels of wastewater. He said this will facilitate better environmental management initiatives. Mr. Aloi is a United States Navy Veteran with 15 years of canine experience; and Mr. Orcutt is a United States Marine Corps Veteran with 35 years of canine experience. They want to use the canine to screen samples, reducing excessive and expensive laboratory analysis. • The Discussion on Consumable Hemp Products and the ABC Board was next on the Agenda. Revenue Manager Jennifer Olmstead addressed the City Council and began the discussion. She said these products will be ABC monitored and approved (Regulatory Agency). Ms. Olmstead mentioned three licenses for Consumable Hemp Products. She asked for clarification and what the City Council wants to go before them; and asked for their guidance. Councilmember Gammon mentioned to the City Council ABC fees in Fairhope compared to other Cities. And said he is not a big fan of this for Fairhope. Councilmember Robinson commented it was not a problem being here since regulated btu wants to research the topic on his own. Council President Conyers stated he was glad they were moving forward. He said it would be put back on the February 19, 2026 Work Session for more discussion. Page 27 of 170 Monday, 26 January 2026 Page -2- • Discussion regarding Seasonal School Resource Officer Positions was presented by Police Chief Stephanie Hollinghead. She explained that the part-time Seasonal SRO positions would be for retired Police Officers. This will allow her to keep the full -time Police Officer positions. Chief Hollinghead said one full-time Police Officer will monitor the SROs and stay at the schools to help with other projects. The consensus of the City Council was this will be a huge benefit and cost savings; and for this to be placed on the next agenda. • Gas Superintendent Wes Boyett began the Discussion of Korterra Terms and Conditions. City Attorney Marcus McDowell explained the liability issues with these terms and conditions. Mr. Boyett said this will streamline the process and operations. The consensus of the City Council was to move forward with the contract. • Councilmember Robinson gave an update on the Fairhope Historical Preservation Commission: History Day at First Friday Art Walk, Historic Preservation Commission changes for obtaining Certified Local Government, and Demolition Ordinance. He mentioned the Recreation Board and the discussion on fees at the Tennis Center for private schools needs to be clearer. He said the fees should take care of upkeep and maintenance. Councilmember Robinson said the Recreation Summit was held after the Recreation Board meeting. He said it was a productive meeting; and it was good to hear concerns and needs. • Councilmember Booth reminded everyone of the Champagne and Chocolate Fundraising event for the Library on Saturday. • Human Resources Director Hannah Noonan addressed the City Council regarding Agenda Items No. 25, No. 26, and No. 27; and answered any questions if needed. • Planning Director Hunter Simmons addressed the City Council regarding Agenda Items No. 6, and No. 7; and answered any questions if needed. • City Engineer Richard Johnson addressed the City Council regarding Agenda Item No. 9; and answered any questions if needed. Attorney Chris Williams suggested that the language be changed in the agreement. Mr. Johnson addressed Agenda Items No. 11 and No. 13; and answered any questions if needed. He gave an update on the Fairhope Single Tax Corporation and the sidewalk on Morphy Avenue. • Community Affairs Director Paige Crawford addressed the City Council regarding Agenda Item No. 21; and answered any questions if needed. She mentioned the water being turned off on the pier and will be turned back on Wednesday. N O W, THEREF ORE, BE IT ORD AINED B Y THE GOVERNING BOD Y OF THE CITY OF FAIRHOPE, ALABAMA, AS F OLL OWS : I. Ti tl e This Ordinance shall be known as the Demolition Review Procedure For Historically Significant Buildings Ordinance. II. Purpo se This Demolition Review Procedure provides an opportunity for the City to identify historically significant buildings proposed for demolition for the purpose of educating the property owner about possible alternatives. While preservation of historical structures is a goal , preservation is not required by this Ordinance. The Demolition Review Procedure will allow the City sufficient opportunity to document the historical structure and provide the Historic Preservation Commission with the opportunity to explore with property owners of historically significant buildings alternative solutions to demolition , such as renovation or relocation , with available financial incentives . III . D efiniti o ns A ppli cant : means any person or entity that owns property within the corporate limits of the City of Fairhope that applies for a demolition permit or other type of building permit for a Historically Significant Building . A ppli cation : means the process by which an Applicant submits a request for a demolition permit or other type of building permit for a Historically Significant Building . Buildin g : means, as defined by the International Building Code, "any structure used or intended for supporting or sheltering any use or occupancy." Buildin g D epart me nt : means the permitting authority for the City of Fairhope . City Buildin g Official: means the Building Official of the City , or his or her designee. City: means the City of Fairhope , Alabama , a municipal corporation organized under the laws of the State of Alabama. Commi ss ion : means the City of Fairhope Historic Preservation Commission , created pursuant to Ordinance No. 1797 . Page 40 of 170 Ordinance No. Page -2- D emolition: means the act of pulling down, destroying, disassembling, removing, or razing a Building or part of a Building or commencing any such action. Hi storicall y Significant Buildin gs : Historically Significant Buildings are those Bui ldings identified by (1) any of the City of Fairhope 's current and future historic surveys , (2) the Baldwin County Commission's Banner and Shield program , (3) the Alabama Historic Commission's Preservation Map , (4) the National Park Service (NPS) listings , or (5) the Fairhope Single Tax Corporation online archive . The Building Department shall post links to these sources on the City website. IV. Appli cation R equirements The Demolition of any Building in the City requires an Application submitted to the Building Department. The Application must include the following information: (a) Photographs of the property and neighboring properties (all photographs must be keyed to a map); (b) A map showing the property (maps are available on the Revenue Commissioner's website); ( c) An official or unofficial plot plan ; and (d) Historical status of the property , including whether or not the Building 1s a Historically Significant Building. V. Proc edures Within five (5) business days of receiving a comp leted Application , the Building Department shall : (a) Determine whether the building is a Historically Significant Building . If so , the Application will be forwarded immediately to the Commission, and the property owner will be notified of the requirement to meet with Commissioners . (b) If the Application was received ten (10) or more business days prior to the next Commission meeting, then the Application will be considered at that meeting. If the Application is made less than ten (10) busines s days prior to the next Commission meeting , then the Applicant will be scheduled to meet at the next scheduled Commission meeting . The meeting will include a review of the request , a discussion of the history of the City, community, neighborhood , and Historically Significant Building, and a discussion of preservation incentives and demolition alternatives . At least one of the Applicant property owners must attend the Commission meeting ; or , if the property owner is unable to attend during scheduled Commission meeting times within forty-five ( 45) days (two meetings of the Commission), then a virtual (online) meeting shall be scheduled with the owner and two Commissioners . If the property owner fails to attend the meeting , the Application is denied. ( c) After the meeting with the property owner, the Commission will notify the Building Department within five (5) business days that the Applicant has completed the Ordinance requirements . Upon notification by the Commission, the Bui lding Department shall be authorized to issue the permit after fifteen (15) calendar days , provided all other requirements are met. VI. D emolition (a) Prior to Demolition , a representative of the Commi ssion shall photographically document the exterior of the Building . The Commission shall also encourage the Applicant to salvage and repurpose significant architectural feature s or materials and/or make them available to the community . Page 41 of 170 Ordinance No. Page -3- (b) After Demolition, the Commission wi ll update Fairhope 's local historic surveys as necessary . (c) Nothing in this Ordinance shall be construed to prevent or limit immediate Demolition as authorized and in the discretion of the Building Official when the Building constitutes a public nuisance and/or a public safety hazard that is a danger to the health , safety , and general welfare of the community . VII. Enforcement It shall be unlawful to violate any provision(s) of this Ordinance. The City of Fairhope may issue Stop Work Orders , Municipal Offense Tickets and Notice of Violations, as well as suspend construction and building inspections for Vio lations of the terms of the permit or for violation of this Ordinance. vm. Permit Fees The Permit Fee for demolition of a Historically Significant Building shall be assessed in accordance with Ordinance 1804 (Schedule of Fees for Construction and Building Permits). IX. Severability The sections, paragraphs , sentences, clauses and phrases of this Ordinance are severable, and if any phrase, clause , sentence , paragraph or section of this Ordinance shall be declared unconstitutional by a court of competent jurisdiction, then such ruling shall not affect any other paragraphs and sections, since the same would have been enacted by the municipality council without the incorporation of any such unconstitutional phrase , clause , sentence, paragraph or section. Provide all necessary best management practices (BMP’s) to prevent soil erosion and sediment loss/transport. c.All planned major repairs, system improvements and intrusive maintenance activities may require an approved Right-Of-Way (ROW) Permit prior to the commencement of work. d.Emergency repairs and maintenance shall be addressed in a timely fashion, and an after-the-fact ROW shall be applied for within one business day of the emergency event. Page 51 of 170 e.Driveway access shall be safely passable with temporary work within 24 hours of the maintenance/repair and permanent repairs shall be substantially complete within 5 business days. f.All permanent work shall restore the full ROW to as designed and as built conditions. 2.The APPLICANT will see that adequate sight distances are maintained for maximum public safety; otherwise, the City reserves the right to remedy this situation in the most expedient manner. 3.The CITY is not responsible for the safety of the individual(s) involved or taking part in this work during maintenance, repair and/or improvements operations. Signs used must be in accordance with the latest version of the MUTCD currently in use by The CITY. 4.If the CITY construction (repair/maintenance/improvements of drainage and traffic structures, crossovers and other minor construction) is done in the subject area, it will be the responsibility of the CITY to establish a stand of vegetative cover as necessary for soil and erosion control. It will be the APPLICANT's responsibility to restore and maintain the landscape area stipulated herein. In the event of major construction (full redevelopment) in the subject area, this Agreement may be voided, all or in part, at a time designated by the CITY. 5. All work shall be subject to the inspection and approval of the CITY. A description of the proposed work must accompany this and any associated proposal. Should the APPLICANT fail to conform to the provisions of the Agreement, such failure shall be grounds for termination and shall be cause for the CITY to assume the maintenance at the APPLICANT's expense and/or remove the work and restore the right-of-way to the CITY's discretion at the expense of the APPLICANT. The APPLICANT agrees to pay the CITY all such costs as a result. The CITY shall provide thirty (30) days’ notice, in writing, or any termination. 6. A copy of this Agreement must be kept by all parties that sign the Agreement. The CITY does not grant APPLICANT any right, title, or claim on any highway right-of-way. 7. The APPLICANT agrees to store no equipment, branches, mounds of clippings or plant debris of any kind or any other material on the shoulders of pavement and in the case of multi-lane highways, in the median strips. The pavement will be kept free from waste (clippings, mud and other debris) and equipment. 8.This Agreement is executed with the understanding that it is not valid until the APPLICANT has complied with all existing ordinances, laws and zoning boards that have jurisdiction in the county, city or municipality. 9. The APPLICANT will provide litter pick up as needed to insure a pleasing appearance along the driveway access and adjacent public roadside. Page 52 of 170 10.The APPLICANT may perform any herbicide treatments necessary to maintain the appearance of the driveway access with written permission from The CITY. This includes but is not limited to concrete islands, median barriers, curbs, and other structures. Herbicide treatments shall conform to the guidelines found in the current edition of Chapter IV- ALDOT Herbicide Treatment Recommendations: and be applied by an individual in possession of a current Commercial Applicator Permit (ROW category) issued by the Alabama Department of Agriculture & Industries. Daily application reports shall be made available for review by The CITY upon request. 11. Indemnification Provisions - By entering into this agreement, the APPLICANT is not an agent of the CITY of FAIRHOPE, its officers, employees, agents or assigns. The APPLICANT is an independent entity from the CITY of FAIRHOPE and nothing in this agreement creates an agency relationship between the parties. The APPLICANT shall be responsible for damage to life and property due to the activities of the APPLICANT of employees of APPLICANT in connection with the work or services under this Agreement. The APPLICANT agrees that its contractors, subcontractors, agents, servants, vendors or employees of APPLICANT shall possess the experience, knowledge and skill necessary to perform the particular duties required or necessary under this Agreement. The APPLICANT shall defend, indemnify, and hold harmless the CITY of FAIRHOPE, its officers, officials, agents, servants, and employees, in both their official and individual capacities, from and against (1) claims, damages, losses, and expenses, including but not limited to attorneys' fees arising out of, connected with, resulting from or related to the work performed by the APPLICANT, or its officers, employees, contracts, agents or assigns (2) the provision of any services or expenditure of funds required, authorized, or undertaken by the APPLICANT pursuant to the terms of this Agreement, or (3) any damage, loss, expense, bodily injury, or death, or injury or destruction of tangible property (other than the work itself), including loss of use therefrom, and including but not limited to attorneys' fees, caused by the negligent, careless or unskillful acts of the APPLICANT its agents, servants, representatives or employees, or the misuse, misappropriation, misapplication, or misexpenditure of any source of funding, compensation or reimbursement by the APPLICANT, its agents, servants, representatives or employees, or anyone for whose acts the APPLICANT may be liable. 12. Nothing contained in this Agreement, or in its execution, shall be construed to alter or affect the title of the CITY to the unopened public right-of-way nor to increase, decrease or modify in any way the rights of the APPLICANT in performance of these maintenance activities. 13. By signing this contract, the contracting parties affirm, for the duration of the agreement, that they will not violate federal immigration law or knowingly employ, hire for employment, or continue to employ an unauthorized alien within the CITY of FAIRHOPE.
