HomeMy WebLinkAboutO-1128ORDINANCE NO. 1128 BYLAWS of The City of Fairhope Environmental Advisory Board ARTICLE I. NAME The name of this organization shall be The City of Fairhope Environmental Advisory Board. ARTICLE II. MISSION The mission of The City of Fairhope Environmental Advisory Board (Board) shall be as follows: A. To provide policy advice on environmental matters to the City Council. B. To provide public information about environmental matters by way of news articles, speeches, presentations, educational seminars, etc., but only with the approval of the Council. C. To study such environmental issues as may be suggested by City Officials, Board members, City staff, and the public. D. To focus its activities and recommendations on local environmental concerns, to identify achievable goals that reflect overall community concerns, and to provide long-term economically feasible solutions to improve our environment. In making its decisions, one principle the board will apply will be the principle of sustainability. Until otherwise defined by the City, the term "sustainability" means the ability to meet the needs of the present without sacrificing the ability of future generations to meet their own needs. ARTICLE III. MEMBERSHIP Section 1. The Chairman and Council members will recommend new members to the City Council for its approval. Mayor, Council, Members or Board members may suggest candidates for membership. Section 2. The Board shall be comprised of two (2) member of the City Council and not more than seven (7) members at large. Total number of board members shall be nine. Section 3. Terms of City Council member shall expire in two years or when his or her term on the City Council ends, whichever is earlier. As determined by lot at the last meeting of the first year of the existence of the Board, the first terms of two of the members from the public shall expire in one year, the first terms of two other of the members from he public shall expire in two years and the first terms of the remaining members shall expire in three years. Thereafter all terms shall expire in two years. A member wishing to serve a second term may do so if approved by the City Council. Members shall serve at the pleasure of the City Council and can be removed at any time. Ordinance No. 1128 By-laws Environmental Advisory Board Page —2- Section 4. Members may resign from the Board, or, should a member fail to attend three consecutive meetings, the Council may terminate such member after written notice from the Board. The City Council will be notified of member termination and asked for a suggested replacement. Section 5. Associate members are non -voting members who routinely attend Board meetings, participate in committee assignments in their areas of expertise. There are no employment restrictions for associate members. Section 6. The city will assign a qualified employee to attend Board meetings to take notes and to distribute the minutes of each meeting at least a week before the next scheduled meeting to all committee members, the Mayor and the City Council. Section 7. Members shall serve without compensation. ARTICLE IV. OFFICERS Section 1. The officers shall be a Chairman, Vice -Chairman, and Secretary as set forth in Section 2. These officers shall hold one-year terms and be eligible for reelection. Officers shall serve without compensation. Section 2. The officers shall perform the duties outlined below: a. The Chairman shall preside over meetings, speak for the organization, and call extraordinary sessions. b. The Vice -Chairman shall perform the Chairman's duties, in the absence of the Chairman, and c. If no person shall have been designated by the City to take and distribute minutes, a Secretary shall be elected to perform those functions. Section 3. Officers shall function as a management committee to decide meeting agendas and matters to be recommended to the membership, including new members and assignment of issues to committees. Section 4. The Board at its first meeting of the year shall elect officers. The Chairman will appoint a member to nominate a slate of willing candidates, and nominations from the floor will be accepted. Ordinance No. 1128 By-laws Environmental Advisory Board Page —3- ARTICLE V. MEETINGS Section 1. Regular, public meetings shall be held each month. Section 2. A regular meeting shall be an annual planning and organization meeting and shall be held early each year, with adequate time allowed for detailed discussion of projects and issues. Section 3. At a minimum of once a year the Board will meet with the City Council in workshop sessions to advise the Council of its activities and seek approval for planned programs. Section 4. Special meetings may be called by the Chairman or upon the request of at least five members. Section 5. Members shall be notified in advance, normally in writing but in emergencies by telephone, of meeting times and agendas. Section 6. A majority vote of those members attending a regularly scheduled meeting shall be binding, provided a quorum of Board members attend. Section 7. The Mayor and Council shall be notified of all regularly scheduled meetings of the Board. ARTICLE VI. PARLIAMENTARY AUTHORITY Roberts Rules of Order, Revised shall govern when applicable and when not inconsistent with these bylaws. ARTICLE VII. COMMITTEES The Chairman may appoint committees to carry out the functions of the Board, subject to Board approval of any action. Such committees may request of the Mayor to draw upon City agencies or other resources as appropriate. ARTICLE VIII. AMENDMENTS TO BYLAWS The Board at any regular meeting may recommend changes to the Bylaws by a two- thirds vote prior to the submittal to the Mayor and Council for consideration and amendment. Ordinance No. 1128 By-laws Environmental Advisory Board Page —4- Severability Clause - If any part, section of subdivision of this ordinance shall be held unconstitutional or in valid for any reason, such holding shall not be construed to invalidate or impair the remainder of this ordinance, which shall continue in full force and effect notwithstanding such holding. Effective Date - This ordinance shall take effect immediately upon its due adoption and publication as required by law.
